These Institutional Terms and Participation Charter (“Agreement”) govern the participation of individuals approved to establish and lead Initiatives or Councils operating within the institutional ecosystem of United World Leaders (“UWL”).

By submitting a proposal and accepting this Agreement through the UWL website or platform, the Representative agrees to operate the proposed Initiative or Council in accordance with the institutional framework, mission, governance standards, and policies of United World Leaders.

DEFINITIONS

For purposes of this Agreement:

“UWL” means United World Leaders and its officers, representatives, affiliates, programs, and institutional platforms.

“Representative” means the individual submitting a proposal and accepting this Agreement.

“Initiative or Council (“IC”)” means a proposed program, working group or IC operating within the institutional ecosystem of United World Leaders.

“IC Intellectual Property” means all intellectual property created in connection with the IC, including names, branding, publications, recordings, presentations, materials, research, concepts, and ideas.

“Affiliation” means recognition by UWL that an IC operates within the UWL institutional platform.

“Funding” means any monetary or non-monetary contribution, including donations, grants, sponsorships, charitable contributions, scholarships, fellowships, awards, event underwriting, crowdfunding proceeds, in-kind support, goods, services, volunteer resources, or other financial or non-financial assistance provided or proposed to be provided in connection with an Initiative or Council.

RECITALS

WHEREAS United World Leaders is a global leadership platform convening leaders, organizations, governments, and institutions to advance cooperation, peace, innovation, and socioeconomic prosperity;

WHEREAS the Representative has requested approval to establish and lead an IC within the institutional framework of United World Leaders;

NOW THEREFORE the parties agree as follows.

 

1. GENERAL STATUS AND PURPOSE

1.1. Institutional Platform

If approved, the IC shall operate as a program within the institutional platform of United World Leaders and shall not constitute an independent legal entity representing UWL unless expressly authorized in writing.

1.2. Alignment with Mission

All IC activities, individual and collective, must align with the mission of UWL and be preapproved in writing by the UWL:

UWL mission is to bring peace and socioeconomic prosperity across the world and advance initiatives promoting international cooperation.

1.3. Non-Political, Non-Religious, and Non-Divisive Conduct

United World Leaders is a global institutional platform dedicated to fostering cooperation, dialogue, and collaboration among individuals, organizations, and nations across the world in pursuit of peace and the elevation of global socioeconomic prosperity.

Accordingly, the IC and the Representative shall not use the United World Leaders platform, name, or affiliation to promote political campaigns, partisan political agendas, political parties, government factions, or religious advocacy.

All activities conducted under the United World Leaders platform shall be guided by the principles of mutual respect, constructive dialogue, and the pursuit of common ground among diverse individuals, institutions, and nations.

Participants in United World Leaders initiatives are expected to respect the diversity of cultures, perspectives, political systems, and national interests represented within the global community and to engage with such differences in a spirit of cooperation, understanding, and constructive engagement.

The Representative and the IC shall therefore refrain from engaging in activities, communications, or public statements that, in the reasonable judgment of United World Leaders:

  • promote division, hostility, or antagonism among individuals, communities, organizations, or nations;
  • assign blame to particular peoples, societies, or countries in a manner intended to create conflict or polarization;
  • frame global issues in adversarial or “us-versus-them” terms between groups or nations;
  • encourage discrimination, exclusion, or separation among participants in the global community;
  • attempt to use the United World Leaders platform to advance geopolitical propaganda, influence campaigns, or the strategic interests of any particular government, political movement, or geopolitical bloc.

Activities conducted under the United World Leaders platform shall instead emphasize constructive engagement, cooperation across differences, and the identification of shared interests among diverse participants, with the objective of working with all individuals, organizations, and nations toward the advancement of peace and the improvement of global socioeconomic well-being. and constructive engagement.

United World Leaders reserves the right, in its sole discretion, to suspend or terminate any IC that engages in conduct or communications inconsistent with the principles described in this section.

1.4. Standards of Conduct

The Representative and all IC participants shall maintain high standards of integrity, professionalism, and ethical conduct consistent with the reputation and institutional values of United World Leaders.

 

2. APPROVAL AND OPERATION

2.1. Activities Limited to Approved Proposal

The IC may conduct only those activities described in the proposal approved by United World Leaders (“UWL”), provided that such activities remain at all times consistent with this Agreement and all applicable Terms and Conditions. Approval of a proposal shall not be construed as authorizing any activity that violates, is inconsistent with, or exceeds the rights, limitations, or requirements set forth in this Agreement or the applicable Terms and Conditions.

The IC may engage only in activities that have been proposed and approved by UWL. Any new, expanded, or materially modified activities shall require the prior written approval of UWL.

In the event of any inconsistency, conflict, ambiguity, or discrepancy between the approved proposal and this Agreement or any applicable Terms and Conditions, the provisions of this Agreement and the applicable Terms and Conditions shall govern and prevail to the extent of such inconsistency or conflict.

2.2. Compliance

The IC shall operate in accordance with:

  • the approved proposal;
  • This Agreement;
  • Institutional policies issued by UWL;
  • Any other applicable rules and regulations.

In the event of conflict, this Agreement shall prevail.

 

3. AMENDMENTS TO TERMS AND CONDITIONS

United World Leaders (“UWL”) reserves the right, at any time and in its sole and absolute discretion, to amend, revise, modify, supplement, replace, suspend, or discontinue these Terms and Conditions, in whole or in part, with or without prior notice.

Unless UWL expressly provides otherwise, any such amendment, revision, modification, supplement, replacement, or other change shall become effective immediately upon its publication or posting by UWL on its official website or through such other means as UWL may determine appropriate. The version of the Terms and Conditions most recently published by UWL shall constitute the controlling and applicable version.

The Representative acknowledges and agrees that it is the Representative’s sole responsibility to periodically review the United World Leaders website and remain informed of the then-current applicable Terms and Conditions. The Representative’s continued participation in any United World Leaders program, initiative, Independent IC, appointment, activity, event, publication, or other relationship with UWL, or continued use of the United World Leaders name, trademarks, platform, resources, benefits, or other Institutional affiliations following the effective date of any amendment, shall constitute the Representative’s acceptance of and agreement to be bound by the revised Terms and Conditions.

In the event of any inconsistency, conflict, ambiguity, or discrepancy between the then-current Terms and Conditions and any previously approved proposal, application, communication, guideline, policy, publication, marketing material, agreement, or other document, the then-current Terms and Conditions shall govern and prevail to the fullest extent permitted by applicable law.

Nothing contained herein shall obligate UWL to provide individual notice of any amendment or modification. UWL may, but shall not be obligated to, notify Representatives of material changes.

Failure by the Representative to review or become aware of any amendment shall not affect the validity, applicability, or enforceability of the then-current Terms and Conditions.

 

4. IC FORMATION, APPROVAL STATUS, AND LEADERSHIP ADVANCEMENT

Upon the Institution’s approval of an Impact and Legacy Proposal to establish a United World Leaders IC, the proposed IC shall receive Interim Approval. Interim Approval authorizes the approved individual(s) to begin organizing and developing the proposed IC under the auspices of United World Leaders but shall not constitute formal approval of the IC as an established Institutional IC.

During the Interim Approval period, the approved individual(s) shall be appointed to the interim position of United World Leaders IC Formation Coordinator. The IC Formation Coordinator shall be responsible for organizing the IC, identifying, recruiting, and recommending qualified individuals and organizations for membership, developing the IC’s structure and strategic direction, and performing such other responsibilities as may be necessary. All proposed IC members, advisors, participants, and organizations shall be subject to the Institution’s review and approval in accordance with the applicable policies, procedures, and Terms and Conditions.

Unless otherwise approved by the Institution, the IC Formation Coordinator shall generally be provided approximately three (3) months from the date of Interim Approval to establish the IC by recruiting an appropriate number of qualified and Institution-approved individuals and organizations necessary for the IC to effectively fulfill its intended mission and objectives.

Upon the Institution determining, in its sole discretion, that the IC has been populated with an appropriate number of qualified and approved participants and otherwise satisfies the Institution’s requirements, the IC shall receive Formal Approval as an official United World Leaders IC. Upon Formal Approval, the IC Formation Coordinator shall be appointed to the position of Director of the IC.

Following Formal Approval, and upon demonstrating a meaningful and sustained record of meetings, activities, publications, collaborations, initiatives, policy work, educational efforts, humanitarian engagement, or other mission-aligned accomplishments, as determined by the Institution in its sole discretion, the Director shall be appointed to the position of Executive Director.

Thereafter, upon the IC demonstrating a meaningful impact consistent with the mission and objectives of United World Leaders, including meaningful contributions toward advancing socioeconomic prosperity, cooperation, peace, public policy, education, science, humanitarian objectives, environmental stewardship, or other priorities, as determined by the Institution in its sole discretion, the Executive Director may be appointed to the position of Chair of the IC.

If, during the Interim Approval period, the IC is not established within the time provided, or otherwise fails to demonstrate satisfactory progress toward formation, the Institution may, in its sole and absolute discretion, extend the Interim Approval period, impose additional conditions or milestones, suspend the formation process, revoke the Interim Approval, terminate the proposed IC, or take such other action as the Institution deems appropriate. Nothing herein shall obligate the Institution to grant an extension or Formal Approval.

The Institution shall retain the sole and absolute discretion to determine whether the requirements for Interim Approval, Formal Approval, title appointments, title advancement, continued recognition, or any other status have been satisfied. No approval, appointment, title, or advancement shall be automatic or guaranteed based solely upon the passage of time or completion of any individual milestone. All approvals, appointments, title changes, and continued recognition remain subject to the Institution’s ongoing evaluation of the IC’s leadership, activities, mission alignment, compliance with applicable policies, and such other factors as the Institution considers appropriate.

4.1. Institutional Orientation Meeting

Upon request by United World Leaders, the Representative agrees to organize and coordinate one or more virtual meetings (e.g., via Zoom or a comparable video conferencing platform) with the approved leaders and/or members of the Representative’s IC or other approved UWL entity.

Such meeting(s) shall be scheduled at a time reasonably convenient for the Institution’s representative(s), while taking into consideration the availability and preferences of the participating leaders and members.

The purpose of the meeting(s) is to help ensure that all participants:

  • understand and are aligned with the mission, vision, values, and objectives of United World Leaders;
  • understand how the IC or other approved activity contributes to advancing the Institution’s mission and strategic priorities;
  • become familiar with applicable Institutional policies, standards, and expectations;
  • understand their respective roles, responsibilities, and opportunities within the United World Leaders ecosystem; and
  • have an opportunity to ask questions and receive guidance from the Institution’s representative(s).

The Representative agrees to make reasonable efforts to facilitate such meeting(s) and encourage the participation of all approved IC leaders and members whenever reasonably practicable.

 

5. BENEFITS AND LIMITATIONS

At UWL’s sole discretion, an approved IC may receive:

  • listing on the UWL website;
  • recognition as a UWL IC;
  • invitations to selected UWL events;
  • exposure through institutional communications.

UWL makes no guarantees regarding partnerships, funding opportunities, or program outcomes.

The effectiveness of the Initiative will be driven by its ability to independently identify, engage, and collaborate with relevant stakeholders, strategic partners, supporters, etc. Representative understands that the UWL offers different levels of paid Memberships with related benefits that include access to the UWL events, exclusive engagements, introductions and other paid Membership benefits.

PARTICIPATION OF EXTERNAL LEADERS AND INSTITUTIONS

ICs may involve participation by governments, corporations, academic institutions, nonprofit organizations, and global leaders.

Participation of such individuals or institutions does not constitute endorsement, sponsorship, or representation by United World Leaders.

Statements or opinions expressed by participants represent solely the views of those participants and not necessarily those of United World Leaders.

Participation does not create any partnership, agency, or legal relationship with United World Leaders unless established through a separate written agreement.

 

6. BRANDING AND USE OF UWL NAME

6.1. Limited License

UWL grants the IC a temporary, revocable, non-exclusive license to reference its affiliation with United World Leaders.

6.2. Revocation

UWL may revoke this license at any time and for any reason.

6.3. Official Identification Requirement

Upon approval, the IC shall identify and present itself exclusively in connection with its affiliation with United World Leaders using the following designation:

[Name of IC]

Independent Member of United World Leaders

This designation must appear prominently on the first page or primary display area of any materials referencing the affiliation, including but not limited to:

  • printed materials;
  • electronic materials;
  • websites;
  • brochures;
  • banners;
  • promotional materials;
  • reports;
  • presentations;
  • public speeches or similar communications.

The phrase “Independent Member of United World Leaders” must appear in a typeface no smaller than eighty percent (80%) of the size of the IC’s name, and must be positioned in close proximity to the IC’s name so that the affiliation is clearly visible and not obscured, minimized, or placed in footnotes, disclaimers, or secondary sections of the material.

The United World Leaders logo must be displayed together with this designation, and its size and placement must be such that the affiliation is clearly visible and not visually diminished relative to the IC’s branding.

The IC shall not use alternative wording, formats, or descriptions when representing its affiliation with United World Leaders unless expressly approved in writing by UWL.

The above-stated requirements shall be incorporated into all applicable materials referenced in this Section within ten (10) business days of the IC receiving an approval to become an Independent Member of the UWL.

If UWL determines that any materials or communications do not comply with these requirements, the IC shall promptly correct such materials and cease further distribution of non-compliant materials within one business day of receiving written notice from UWL.

6.4. Communications, Publications and Institutional Records

To help ensure consistency with the mission, standards, branding, and applicable Terms and Conditions of United World Leaders, the Representative shall submit to the Institution for review and approval the first few written communication or letter that is intended to be sent to any private individual, organization, business, foundation, educational institution, government entity, or other third party on behalf of, or in connection with, the Independent IC.

In addition, the Representative shall submit to the Institution for review and approval the first few publicly available documents or other marketing/promotion/communication materials issued under the name of or on behalf of the IC prior to its public release, solely for the purpose of confirming compliance with the applicable Terms and Conditions, Institutional policies, branding standards, and mission.

The Representative shall also provide the Institution, for its records shortly after their issuance, copies of or access to any marketing or promotional materials, publications, reports, newsletters, websites, landing pages, social media accounts and content, presentations, brochures, videos, press releases, advertisements, event materials, or other publicly distributed communications or media created or used in connection with the IC. The Institution may review such materials for compliance with its policies and may request reasonable modifications where necessary to protect the Institution’s reputation, mission, legal interests, or brand integrity.

6.5. Required Disclaimer

All communications referencing UWL must include the disclaimer contained in Appendix A.

 

7. INTELLECTUAL PROPERTY, BRANDING AND LICENSES

7.1. Representative Intellectual Property

Except as expressly provided in these Terms and Conditions, nothing in this Agreement shall be construed as transferring ownership of any intellectual property owned or developed by the Representative or any other participating party. Each party shall retain ownership of its respective intellectual property in accordance with applicable law.

7.2. Limited License to Use United World Leaders Intellectual Property

Subject to continued compliance with these Terms and Conditions, United World Leaders (“UWL”) grants the Representative a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the United World Leaders name, logo, trademarks, branding, and other institutional intellectual property solely in connection with the approved Initiative or Council (“IC”) and strictly in accordance with UWL’s branding guidelines, policies, and written instructions.

This license:

  • does not transfer any ownership rights in any UWL intellectual property;
  • may not be assigned, sublicensed, modified, or used for any purpose not expressly authorized by UWL;
  • automatically terminates upon suspension, termination, expiration, or withdrawal of the IC’s approval or the Representative’s affiliation with UWL, unless otherwise agreed in writing by UWL.

7.3. Ownership of Institutional Council Identity

Notwithstanding the above, upon approval of an Initiative or Council by United World Leaders, the official name, title, description, branding, logos, visual identity, and other identifying attributes of the approved IC, as approved or subsequently modified by UWL, shall become and remain the exclusive property of United World Leaders.

The Representative acknowledges that the approved IC forms part of the United World Leaders institutional platform and that UWL shall have the unrestricted right to use, reproduce, publish, display, archive, modify, distribute, promote, and otherwise utilize the IC’s identity and related materials for institutional, educational, promotional, archival, historical, research, humanitarian, commercial, or other lawful purposes.

7.4. Institutional Rights Regarding Council Activities

The Representative grants United World Leaders a perpetual, worldwide, royalty-free, fully paid-up, transferable, sublicensable, non-exclusive license to record, reproduce, publish, distribute, archive, display, edit, translate, create derivative works from, and otherwise use any meetings, conferences, webinars, recordings, presentations, photographs, videos, reports, publications, communications, promotional materials, impact reports, and other materials created, conducted, or generated in connection with the approved IC, for any lawful institutional purpose.

Such rights shall survive the expiration or termination of the Representative’s appointment or the IC’s affiliation with United World Leaders.

7.5. Further Assurances

The Representative agrees to execute, and to use reasonable efforts to cause other participating parties to execute, any documents and perform any acts reasonably requested by United World Leaders to confirm, protect, register, or otherwise give effect to the provisions of this Section.

 

8. GOVERNANCE AND COMMUNICATION

Mission Alignment and Continuing Impact Expectations.

The Representative acknowledges and understands that United World Leaders is an institution dedicated to advancing socioeconomic prosperity, peace, cooperation, and positive impact across the world. The IC further recognizes that the establishment and approval of Focus Area ICs constitutes one of the principal mechanisms through which United World Leaders seeks to advance and fulfill its mission and objectives.

Accordingly, while recognizing that the nature, scope, timing, and measurement of impact may vary among ICs, the IC acknowledges the importance of undertaking meaningful activities, initiatives, programs, engagements, collaborations, publications, events, and other efforts that are reasonably intended to create tangible, measurable, or otherwise demonstrable impact within the IC’s area of focus.

The Representative further understands and agrees that, in evaluating the IC’s continuing approved status, affiliation, and leadership structure, United World Leaders may consider, among other factors, the IC’s level of activity, engagement, contribution, progress, and demonstrated impact in advancing the mission, objectives, and global priorities of United World Leaders.

  • provide updates regarding IC activities;
  • notify UWL of events conducted under the IC name;
  • provide documentation when requested.

8.1. Advance Notice of Events and United World Leaders Participation

The Representative shall provide United World Leaders with prompt written notice of any IC-related event, program, initiative, conference, forum, meeting, workshop, roundtable, summit, webinar, public engagement, or other activity as soon as such activity is planned, scheduled, organized, or otherwise reasonably anticipated to occur.

To the extent reasonably practicable, such notice shall include the nature of the activity, proposed date and location, anticipated participants, objectives, agenda, and any other information reasonably relevant to United World Leaders’ potential involvement.

The Representative shall, in good faith, provide United World Leaders with the opportunity to participate in, support, promote, attend, or otherwise engage with such activities. Without limitation, the Representative shall invite an authorized representative of United World Leaders to deliver welcoming remarks, keynote remarks, closing remarks, participate in discussions, or otherwise address attendees at such activities, where appropriate and reasonably feasible.

The Representative acknowledges that such participation helps strengthen alignment between the IC and the mission of United World Leaders, enhances institutional visibility, promotes collaboration across the United World Leaders ecosystem, and supports the advancement of the Institution’s objectives and global impact.

8.2. Impact Reporting and Global Impact Disclosure

While in the formation stage (provisional approval), the IC shall provide to United World Leaders monthly updates on the progress of engaging with and inviting into the IC significant strategic parties, stakeholders, as well as other individuals and organizations (for example, executives of major institutions, government leaders, significant funders/investors and other parties capable to providing a significant value in support of the IC achieving its mission). All parties are subject to approval by the Institution. Once formed and received a final approval, the IC shall submit a comprehensive written Impact Report no less frequently than once every three (3) months, and more frequently if reasonably requested by United World Leaders.

Such a report shall provide a complete and accurate description of the IC’s activities, initiatives, programs, events, partnerships, communications, outreach efforts, and accomplishments conducted during the reporting period.

In addition, the report shall specifically identify and document the actual impact created by the IC and shall include, where applicable:

  • a summary of all initiatives, projects, programs, events, campaigns, and activities undertaken;
  • the objectives and intended outcomes of such activities;
  • measurable results and outcomes achieved;
  • the number and categories of individuals, organizations, institutions, governments, communities, or other stakeholders engaged or affected;
  • geographic areas and jurisdictions impacted;
  • partnerships, collaborations, and strategic relationships established or advanced economic, social, educational, technological, humanitarian, environmental, public policy, governance, healthcare, or other forms of impact generated;
  • case studies, testimonials, success stories, media coverage, publications, research, reports, photographs, recordings, or other supporting evidence demonstrating impact;
  • future initiatives, anticipated outcomes, and projected impact for the upcoming reporting period;
  • any additional information reasonably requested by United World Leaders relating to the IC’s activities, outcomes, achievements, or impact.

The IC shall maintain sufficient records, documentation, and supporting evidence to substantiate the information contained in each Impact Report and shall provide such supporting materials to United World Leaders upon request.

The IC acknowledges and agrees that United World Leaders may review, summarize, edit, compile, aggregate, publish, distribute, present, reference, or otherwise utilize information contained in such Impact Reports for institutional, governance, promotional, educational, strategic, public relations, fundraising, annual reporting, stakeholder engagement, media, governmental, philanthropic, and other lawful purposes.

Without limitation, the Representative expressly acknowledges and agrees that United World Leaders may present, communicate, and showcase the activities, achievements, outcomes, and impact created by the IC to the Executive Committee, Board of Directors, advisory bodies, members, partners, sponsors, governmental representatives, international institutions, media organizations, and the general public as part of United World Leaders’ efforts to demonstrate and communicate the global impact of its institutional ecosystem.

The Representative and the IC grants United World Leaders a perpetual, worldwide, royalty-free right to use, reproduce, display, publish, distribute, and reference information contained in such Impact Reports for the purposes described herein, subject to any applicable confidentiality obligations expressly agreed to in writing.

Failure to provide an Activity and Impact Report in a timely manner, or the submission of materially incomplete, inaccurate, misleading, or unsupported information, may constitute a material breach of these Terms and Conditions and may result in corrective action, suspension, or termination of affiliation or leadership status at the sole discretion of United World Leaders.

 

9. HONORARY CHAIRS, PATRONS, AND ADVISORY LEADERS

UWL may appoint distinguished global leaders as Honorary Chairs, Patrons, or Advisors associated with an IC.

Such roles are ceremonial and do not create operational responsibility or legal liability.

 

10. AUTHORITY AND LEGAL LIMITATIONS

10.1 No Authority to Bind UWL

The IC and its representatives have no authority to legally bind UWL or its officers, employees, members, or affiliates.

10.2 Independent Responsibility

The IC assumes full responsibility for its activities and compliance with all applicable laws, regulations, and standards in any jurisdiction in which it operates.

While the UWL may, at its sole discretion, promote the IC within its global ecosystem and may introduce to the IC individuals or organizations that express interest in engaging with the IC, the IC acknowledges and agrees that it will not rely on such introductions for the conduct of its activities.

Such outreach and engagement shall be conducted by the IC outside of the UWL and without requesting or expecting the Institution to make direct introductions on its behalf. The IC shall independently identify, attract, and engage all individuals, organizations, partners, sponsors, and other stakeholders necessary for the execution of its initiatives and activities.

The UWL shall not be responsible for sourcing participants, partners, sponsors, or stakeholders for the IC, and all operational, organizational, and relationship-building responsibilities remain solely with the IC.

10.3 Independent Contractor Status

Nothing in this agreement creates any partnership, employment relationship, joint venture, or agency relationship between UWL and the IC or Representative.

Restriction on Association and Representation

The IC and its representatives shall not use, display, or present the name, brand, or identity of the IC or the United World Leaders in conjunction with, alongside, or in association with any individual, organization, or entity that engages in activities contrary to these Terms and Conditions.

This restriction applies to all forms of communication and representation, including but not limited to documents, correspondence, email communications, marketing materials, websites, public statements, and social media content.

Under no circumstances shall the IC or its leadership allow IC’s name or the name of the United World Leaders to appear in a manner that could reasonably be interpreted as suggesting affiliation, endorsement, partnership, sponsorship, or any other form of involvement with such individuals or organizations. The IC bears full responsibility for ensuring that no misleading impression of association is created, whether directly or indirectly.

Mandatory Pre-Approval of External Engagements and Communications

The IC shall obtain prior written approval from the United World Leaders for any and all external engagements, communications, or representations that involve third parties or may reasonably be perceived as establishing a relationship, collaboration, or association.

This includes, but is not limited to, partnerships, joint initiatives, co-branded materials, public announcements, events, speaking engagements, media appearances, sponsorship discussions, and any public or private communications referencing other individuals or organizations.

All such requests for approval must be submitted in writing and include sufficient detail regarding the nature, purpose, parties involved, and intended representation. No such activity shall proceed unless and until formal written approval is granted by the United World Leaders.

The United World Leaders reserves the absolute right to approve, deny, or condition any such request at its sole discretion. Failure to obtain prior written approval shall constitute a material breach of these Terms and Conditions.

Monitoring, Reporting, Audit Rights, and Mandatory Remediation

The IC shall operate with full transparency and accountability to the United World Leaders and shall comply with all monitoring, reporting, and oversight requirements established by the Institution.

The IC shall provide mandatory monthly written reports detailing its activities, communications, outreach efforts, and any other matters reasonably requested by the Institution. Such reports must be accurate, complete, and submitted in a timely manner.

In addition to monthly reporting, the IC shall promptly respond to any ad hoc requests for information, clarification, or documentation.

The United World Leaders shall have the right, at its sole discretion and at any time, to review, monitor, and audit the IC’s activities, records, communications, materials, and operations. This includes access to relevant documents, correspondence, and digital communications necessary to verify compliance.

The IC shall fully cooperate with any such review or audit and shall maintain adequate records sufficient to demonstrate compliance.

Mandatory Self-Reporting and Remediation of Violations

In the event that the IC or any of its representatives has already engaged in, or becomes aware of, any activity that constitutes or may constitute a violation of these Terms and Conditions, the IC must:

1. Promptly notify the United World Leaders in writing via email, providing full and complete details of the violation, including:

    • The nature of the activity
    • The date(s) and circumstances
    • All individuals, organizations, and parties involved
    • Any financial or non-financial elements associated with the activity
    • Promptly notify the United World Leaders in writing

2. Immediately take corrective action, including but not limited to:

  • Notifying all involved or affected third parties, in writing, that such activity, engagement, or representation was not authorized by the United World Leaders
  • Clarifying that no official affiliation, endorsement, partnership, or involvement by the Institution exists
  • Taking all reasonable steps to undo, withdraw, or mitigate the effects of such violation

3. Provide written confirmation to the United World Leaders detailing the remedial actions taken and evidence of such actions, if requested.

  • Clarifying that no official affiliation, endorsement, partnership, or involvement by the Institution exists
  • Taking all reasonable steps to undo, withdraw, or mitigate the effects of such violation

4. Provide written confirmation to the United World Leaders detailing the remedial actions taken and evidence of such actions, if requested.

Failure to promptly report and remediate any such violation shall constitute an independent and additional material breach of these Terms and Conditions.

If any activity is deemed inconsistent with these Terms and Conditions, the United World Leaders may require further immediate corrective action.

Penalties, Liability, Indemnification, and Responsibility

Any violation of these Terms and Conditions shall constitute a material breach and may result in immediate action by the United World Leaders, including but not limited to suspension, revocation of status, termination of affiliation, and removal of the IC from the platform.

The IC leadership shall be solely responsible and liable for any and all actions, representations, communications, or omissions made in connection with its activities.

To the fullest extent permitted by applicable law, the IC leadership agrees to indemnify, defend, and hold harmless the United World Leaders, its leadership, members, affiliates, and representatives from and against any and all claims, liabilities, damages, losses, costs, and expenses (including legal fees) arising out of or related to:

  • Any breach of these Terms and Conditions
  • Any unauthorized fundraising, commercial or financial activity
  • Any misleading or unauthorized representation of affiliation or endorsement
  • Any failure to obtain required approvals
  • Any violation of applicable laws or regulations The leadership of the IC, including but not limited to its Chair, Co-Chairs, Directors, and any individuals exercising decision-making authority, shall bear responsibility and liability for ensuring full compliance with these Terms and Conditions.

Such individuals expressly acknowledge and agree that:

  • They have a duty to actively oversee and enforce compliance within the IC
  • They shall be held accountable for any knowing violations, willful misconduct, gross negligence, or failure to exercise reasonable oversight
  • They may be held liable, to the fullest extent permitted by applicable law, for damages, losses, or liabilities arising from such actions or failures The United World Leaders shall bear no responsibility or liability for any obligations, commitments, or representations made by the IC, its leadership or members.

The Institution reserves the right to require corrective actions, public clarifications, removal of materials, cessation of activities, and/or the return or redirection of any funds or benefits obtained in violation of these Terms.

 

11. FINANCIAL ACTIVITIES, FUNDING AND ENDORSEMENT LIMITATIONS

11.1. PURPOSE

To protect the integrity, reputation, legal compliance, charitable mission, and financial stewardship of United World Leaders (“UWL”), all financial activities conducted in connection with an approved Initiative or Council (“IC”) shall be governed by this Section and any related UWL policies, procedures, handbooks, or agreements adopted from time to time.

For purposes of this Section, “Funding” includes, without limitation, donations, grants, sponsorships, charitable contributions, scholarships, fellowships, awards, event sponsorships, event underwriting, crowdfunding proceeds, in-kind contributions, membership support, institutional support, governmental or intergovernmental funding, foundation grants, corporate sponsorships, philanthropic gifts, and any other financial or non-financial support provided in connection with an IC.

11.2. NO COMMERCIAL ACTIVITIES

Except as expressly authorized in advance in writing by UWL, an IC shall not engage in, conduct, promote, facilitate, advertise, or otherwise participate in commercial activities, business operations, investment activities, trading activities, fundraising businesses, or other revenue-generating activities through or under the name, reputation, affiliation, platform, intellectual property, or goodwill of UWL.

The Representative shall not represent that UWL is participating in or endorsing any commercial activity unless expressly authorized by UWL in writing.

11.3. NO INDEPENDENT FUNDRAISING

The Representative and the IC shall not solicit, receive, collect, process, administer, hold, distribute, or otherwise raise Funding in connection with an IC without the prior written approval of UWL.

An IC shall not be used as a vehicle to raise or collect Funding for the benefit of any individual, organization, business, nonprofit entity, governmental body, political organization, or other third party unless expressly approved in writing by UWL.

No person shall represent that Funding is being raised on behalf of, in partnership with, or under the auspices of UWL unless such activity has first been approved in writing by UWL.

11.4. PRIOR INSTITUTIONAL APPROVAL

All proposed fundraising or Funding activities relating to an IC—including conferences, meetings, educational programs, publications, scholarships, humanitarian projects, research, policy initiatives, community programs, or any other Council or Initiative activity—must receive UWL’s prior written approval before:

(a) approaching or soliciting a prospective donor, sponsor, grantor, or funding source;

(b) making any commitment or representation regarding Funding;

(c) publicly announcing any Funding opportunity; or (d) accepting any Funding.

UWL reserves the right, in its sole discretion, to approve, condition, postpone, or decline any proposed Funding activity.

11.5. FISCAL ADMINISTRATION BY UWL

Unless expressly authorized otherwise in writing by UWL, all approved Funding relating to an IC shall be received, administered, and disbursed exclusively through bank accounts or other financial accounts designated by UWL.

The Representative and the IC shall not establish or use separate bank accounts, payment processors, digital wallets, crowdfunding platforms, cryptocurrency wallets, or other financial mechanisms to receive or administer Funding relating to approved IC activities without UWL’s prior written approval.

UWL shall serve as the fiscal administrator and steward of approved Funding and shall administer such Funding in accordance with applicable law, these Terms and Conditions, applicable UWL policies, and the applicable funding agreement.

11.6. DUE DILIGENCE AND APPROVAL OF FUNDING SOURCES

Prior to approving any proposed donor, sponsor, grantor, or other funding source, UWL may require the Representative and the proposed funding source to provide any information or documentation reasonably requested by UWL.

Such information may include, without limitation:

  • identity of the funding source;
  • legal status and organizational information;
  • beneficial ownership information;
  • contact information;
  • proposed amount of Funding;
  • intended purpose of the Funding;
  • source-of-funds information;
  • financial or organizational background;
  • references;
  • sanctions-related information;
  • Anti-Money Laundering (AML) information;
  • Know Your Customer (KYC) documentation;
  • anti-bribery and anti-corruption certifications;
  • any other information reasonably requested by UWL.

UWL may also require meetings, interviews, conference calls, presentations, certifications, or other due diligence procedures before approving any Funding.

11.7. REQUIRED AGREEMENTS AND COMPLIANCE

As a condition of accepting approved Funding, UWL may require the Representative, the donor, sponsor, grantor, or other funding source to execute one or more agreements, certifications, acknowledgements, compliance documents, indemnification agreements, source-of-funds declarations, or other documentation required by UWL.

The Representative agrees to cooperate fully in obtaining all required documentation and ensuring that all parties comply with these Terms and Conditions, applicable UWL policies, and the applicable funding agreement.

11.8. INSTITUTIONAL ADMINISTRATION AND PLATFORM SUPPORT FEE

UWL may assess an Institutional Administration and Platform Support Fee in connection with approved Funding administered by UWL.

Unless otherwise agreed in writing, such fee shall be deducted from the approved Funding prior to disbursement.

The purpose of this fee is to support, among other things:

  • financial administration;
  • accounting and bookkeeping;
  • banking and payment processing;
  • governance and institutional oversight;
  • legal and regulatory compliance;
  • insurance;
  • technology infrastructure;
  • cybersecurity;
  • communications;
  • institutional administration;
  • maintenance, enhancement, and continued development of the United World Leaders platform;

and

  • enabling UWL to more effectively support, facilitate, expand, and strengthen the activities, collaboration, initiatives, and impact created by its Members, Councils, Initiatives, and the broader United World Leaders community.

The amount of any such fee shall be determined by UWL and, where applicable, reflected in the applicable funding agreement.

11.9. ADMINISTRATION AND DISBURSEMENT OF FUNDING

All approved Funding shall be deposited into financial accounts designated by UWL.

UWL shall serve as the fiscal administrator and steward of such Funding and shall administer and disburse it in accordance with:

(a) the applicable funding agreement;

(b) the approved purpose for which the Funding was provided;

(c) the donor’s, sponsor’s, or funding source’s approved restrictions, designations, or instructions, if any;

(d) applicable law;

(e) these Terms and Conditions; and (f) applicable UWL policies and procedures.

Where Funding is restricted, UWL shall administer and disburse such Funding only in accordance with the applicable funding agreement and the applicable restrictions or conditions established by the funding source.

Where the applicable funding agreement provides that the funding source retains approval rights regarding expenditures or disbursements, UWL shall administer and disburse the Funding in accordance with those approval procedures.

Unless otherwise provided in the applicable funding agreement, UWL shall generally make payments directly to approved vendors, contractors, service providers, venues, scholarship recipients, consultants, or other approved payees rather than to the Representative personally.

Where Funding is unrestricted, UWL shall administer and disburse such Funding in a manner consistent with UWL’s charitable mission, applicable law, these Terms and Conditions, and UWL policies.

The Representative shall cooperate fully with UWL in providing invoices, contracts, receipts, payment requests, certifications, reports, or any other documentation reasonably requested by UWL.

Nothing in this Section shall obligate UWL to make any payment that, in UWL’s reasonable judgment, would violate applicable law, the applicable funding agreement, UWL policies, or UWL’s mission and governance standards.

11.10. FINANCIAL OVERSIGHT

The Representative acknowledges that UWL’s administration of Funding is intended to ensure responsible stewardship, transparency, accountability, legal compliance, donor confidence, and protection of the Institution’s reputation and charitable mission.

Accordingly, the Representative agrees to cooperate fully with all reasonable requests made by UWL relating to financial oversight, reporting, compliance reviews, audits, documentation, or other governance matters associated with approved Funding.

11.11. RESERVATION OF RIGHTS

UWL may decline, suspend, return, refuse to administer, or terminate any proposed or accepted Funding whenever UWL reasonably determines that accepting or continuing to administer such Funding could expose UWL to legal, regulatory, financial, tax, ethical, operational, or reputational risk, or otherwise be inconsistent with UWL’s mission, governance standards, applicable law, these Terms and Conditions, or the applicable funding agreement.

The Representative acknowledges that UWL’s decisions regarding the acceptance, administration, and disbursement of Funding are made in furtherance of its fiduciary, governance, and institutional responsibilities and shall be final.

 

12. CONFIDENTIALITY AND NON- DISPARAGEMENT

The Representative shall not disclose confidential information relating to UWL or make defamatory statements regarding UWL.

 

13. ANNUAL AFFILIATION VALUE AND FEE WAIVER

The Representative acknowledges that individuals and organizations typically pay significant annual institutional fees to receive exposure, promotion, and the right to reference affiliation with global leadership institutions.

UWL hereby waives what would otherwise be a $1,000,000 annual fee for the exposure, promotion, and limited license to reference the UWL name and logo granted under this agreement when utilized under the terms and conditions of this Agreement.

 

14. COMPLIANCE AND CONDUCT

The Representative represents that neither the Representative nor IC leadership or membership has a criminal record or pending criminal charges.

The Representative must notify UWL within one business day of any criminal proceedings, lawsuits, or reputational risks involving the IC or its leadership.

 

15. PROTECTION OF THE INSTITUTION AND ITS INTEGRITY

15.1. INSTITUTIONAL OVERSIGHT AND PLATFORM PROTECTION

The Representative acknowledges that the Initiative or Council (“IC”) operates within the institutional platform of United World Leaders and that UWL has a responsibility to preserve the integrity, reputation, mission, and effective functioning of the Institution and its ecosystem.

Accordingly, where UWL determines that such action is appropriate in the best interests of the Institution, UWL may, after considering the relevant circumstances, take such reasonable actions as it deems necessary, including, without limitation:

  • removing an individual and/or entity from Membership or participation in the Institution or IC.
  • Suspending or Terminating the IC;
  • taking other reasonable measures necessary to protect the mission, reputation, governance, or effective operation of the IC or the Institution.

Such actions may be taken for reasons including, but not limited to:

  • insufficient activity, engagement, or measurable impact by the IC over a reasonable period of time;
  • violation of these Terms and Conditions, Institutional policies or other applicable rules and regulations;
  • circumstances in which continued association with an individual or IC could reasonably be expected to create legal, reputational, operational, governance, or other concerns for the Institution;

Membership in and a leadership of an IC is a privilege and an institutional appointment made in furtherance of the mission of UWL. It does not create any ownership interest, franchise, vested right, or permanent entitlement to continue serving in such capacity.

15.2. INSTITUTIONAL REVIEW PROCESS

A Representative or other affected individual may submit a written request for internal review of an Institutional decision to the Institutional Review and Appeals Committee within thirty (30) days after receiving notice of the decision.

The Committee shall review the matter in accordance with procedures established by UWL and may affirm, modify, or reverse the decision where it determines that such action is appropriate. The decision of the Institutional Review and Appeals Committee shall constitute the final internal decision of United World Leaders and shall not be subject to any further internal appeal.

 

16. NON-COMPETING INITIATIVES

During the term of this Agreement and for five years following termination, the Representative shall not establish initiatives confusingly similar to or derived from the IC or the United World Leaders platform.

 

17. PAY THE OPPORTUNITY FORWARD, EMPOWER OTHERS, CREATE GREATER IMPACT AND LEGACY

The Representative acknowledges and understands that United World Leaders is a highly selective institution whose global community has been built largely through trusted introductions, peer endorsements, and recommendations from respected leaders who recognize individuals of exceptional integrity, capability, and commitment to creating meaningful positive impact.

Accordingly, the Representative acknowledges that an important aspect of participation in the United World Leaders Impact and Legacy Initiatives Program is contributing to the continued growth and long-term strength of the Institution by identifying and introducing other leaders who may be capable of creating significant impact through the United World Leaders platform.

While such introductions are not a condition of approval or continued participation, the Institution strongly encourages Representatives, as part of this application process now, as well as going forward, as opportunities reasonably arise, to nominate individuals whom they believe possess the character, expertise, credibility, vision, and leadership capacity to lead meaningful commercial, humanitarian, educational, scientific, environmental, public policy, social, or other impact-driven initiatives that are consistent with the mission and values of United World Leaders.

The Representative further acknowledges that recommending qualified leaders constitutes an important way of extending his or her own impact and legacy by empowering others to serve humanity. Such recommendations may provide nominated individuals with opportunities to engage influential stakeholders, develop impactful initiatives, build lasting partnerships, and create enduring positive change through the United World Leaders platform. Individuals introduced subsequent to trusted nominations are generally deeply appreciative of the confidence, trust, and support demonstrated by those who nominate them.

Where reasonably practicable, the Representative is encouraged to provide the Institution with relevant information regarding recommended individuals, including, where available:

  • Full Name;
  • Country of Residence;
  • Email Address;
  • Telephone Number;
  • LinkedIn Profile or Professional Biography;
  • Primary Area of Expertise or Focus; and
  • Any other information the Representative believes may assist the Institution in evaluating the individual’s qualifications and potential contribution.

The Representative further acknowledges and understands that, while the submission of introductions or nominations is not a mandatory condition of approval or continued participation, the Institution regards the thoughtful endorsement and introductions of leaders as an important demonstration of the Representative’s commitment to the mission, values, and long-term growth of United World Leaders.

Accordingly, the number, quality, relevance, and resulting engagement of qualified individuals introduced by the Representative may be considered by the Institution, in its sole discretion, as one of many factors when evaluating applications, continuing participation, membership status, appointments, leadership roles, advancement within the Institution, eligibility for additional opportunities, invitations to participate in special ICs, committees, publications, events, and other programs, as well as any other present or future decisions relating to the Representative’s relationship with United World Leaders. The Representative acknowledges that helping identify and empower other exceptional leaders is viewed by the Institution as a meaningful contribution to its mission and an important way of amplifying both the Representative’s individual impact and the Institution’s collective global impact.

The Representative understands that all nominations, recommendations, and introductions shall be reviewed solely at the discretion of United World Leaders, and that the Institution shall have no obligation to invite, approve, admit, appoint, or otherwise engage any nominated individual.

By embracing this culture of paying opportunities forward, the Representative contributes to strengthening a global community of trusted leaders dedicated to advancing socioeconomic prosperity, cooperation, peace, and lasting positive impact for humanity.

19. ELECTRONIC ACCEPTANCE AND BINDING AGREEMENT

By submitting an application, proposal, or registration through the United World Leaders website or platform and selecting the option indicating acceptance of these Terms and Conditions, the Representative acknowledges and agrees that such action constitutes a legally binding electronic acceptance of this Agreement.

The Representative confirms that:

  • the Representative has read and understood this Agreement
  • the Representative has authority to accept this Agreement
  • electronic acceptance has the same legal effect as a physical signature United World Leaders may rely upon such electronic acceptance as evidence of agreement.

 

APPENDIX A

REQUIRED DISCLAIMER United World Leaders exercises no operational control over and assumes no responsibility for the activities of [Name of IC].

The IC is not authorized to legally bind United World Leaders or any of its representatives.
