These Institutional Terms and Participation Charter ("Agreement") govern the participation of individuals approved to establish and lead Initiatives or Councils operating within the institutional ecosystem of United World Leaders ("UWL").
By submitting a proposal and accepting this Agreement through the UWL website or platform, the Representative agrees to operate the proposed Initiative or Council in accordance with the institutional framework, mission, governance standards, and policies of United World Leaders.
DEFINITIONS
For purposes of this Agreement:
"UWL" means United World Leaders and its officers, representatives, affiliates, programs, and institutional platforms.
"Representative" means the individual submitting a proposal and accepting this Agreement.
"Initiative or Council ("IC")" means a proposed program, working group, council, or initiative operating within the institutional ecosystem of United World Leaders.
"IC Intellectual Property" means all intellectual property created in connection with the IC, including names, branding, publications, recordings, presentations, materials, research, concepts, and ideas.
"Affiliation" means recognition by UWL that an Initiative or Council operates within the UWL institutional platform.
RECITALS
WHEREAS United World Leaders is a global leadership platform convening leaders, organizations, governments, and institutions to advance cooperation, peace, innovation, and socioeconomic prosperity;
WHEREAS the Representative has requested approval to establish and lead an Initiative or Council within the institutional framework of United World Leaders;
NOW THEREFORE the parties agree as follows.
1. GENERAL STATUS AND PURPOSE
1.1 Institutional Platform
If approved, the IC shall operate as a program within the institutional platform of United World Leaders and shall not constitute an independent legal entity representing UWL unless expressly authorized in writing.
1.2 Alignment with Mission
All IC activities, individual and collective, must align with the mission of UWL and be pre-approved in writing by the UWL:
UWL mission is to bring peace and socioeconomic prosperity across the world and advance initiatives promoting international cooperation.
1.3 Non-Political, Non-Religious, and Non-Divisive Conduct
United World Leaders is a global institutional platform dedicated to fostering cooperation, dialogue, and collaboration among individuals, organizations, and nations across the world in pursuit of peace and the elevation of global socioeconomic prosperity.
Accordingly, the Initiative or Council and the Representative shall not use the United World Leaders platform, name, or affiliation to promote political campaigns, partisan political agendas, political parties, government factions, or religious advocacy.
All activities conducted under the United World Leaders platform shall be guided by the principles of mutual respect, constructive dialogue, and the pursuit of common ground among diverse individuals, institutions, and nations.
Participants in United World Leaders initiatives are expected to respect the diversity of cultures, perspectives, political systems, and national interests represented within the global community and to engage with such differences in a spirit of cooperation, understanding, and constructive engagement.
The Representative and the Initiative or Council shall therefore refrain from engaging in activities, communications, or public statements that, in the reasonable judgment of United World Leaders:
- promote division, hostility, or antagonism among individuals, communities, organizations, or nations
- assign blame to particular peoples, societies, or countries in a manner intended to create conflict or polarization
- frame global issues in adversarial or "us-versus-them" terms between groups or nations
- encourage discrimination, exclusion, or separation among participants in the global community
- attempt to use the United World Leaders platform to advance geopolitical propaganda, influence campaigns, or the strategic interests of any particular government, political movement, or geopolitical bloc.
Activities conducted under the United World Leaders platform shall instead emphasize constructive engagement, cooperation across differences, and the identification of shared interests among diverse participants, with the objective of working with all individuals, organizations, and nations toward the advancement of peace and the improvement of global socioeconomic well-being.
United World Leaders reserves the right, in its sole discretion, to suspend or terminate any Initiative or Council that engages in conduct or communications inconsistent with the principles described in this section.
1.4 Standards of Conduct
The Representative and all IC participants shall maintain high standards of integrity, professionalism, and ethical conduct consistent with the reputation and institutional values of United World Leaders.
2. APPROVAL AND OPERATION
2.1 Activities Limited to Approved Proposal
The IC may conduct only those activities described in the proposal approved by UWL, provided such activities do not conflict with this Agreement.
Any additional activities require prior written approval from UWL.
2.2 Compliance
The IC shall operate in accordance with:
- the approved proposal
- this Agreement
- institutional policies issued by UWL.
In the event of conflict, this Agreement shall prevail.
2A. INSTITUTIONAL CONTROL AND PLATFORM PROTECTION
The Representative acknowledges that the IC operates within the institutional platform of United World Leaders.
UWL retains ultimate authority over the structure, governance, continuation, and positioning of all Initiatives and Councils.
Accordingly, UWL may at its sole discretion:
- modify or restructure an IC
- merge initiatives
- suspend or discontinue initiatives
- replace the Representative as leader
- appoint co-leaders or additional leadership.
Leadership of an IC constitutes a revocable privilege and not an ownership right, franchise, or permanent entitlement.
3. BENEFITS AND LIMITATIONS
At UWL's sole discretion, an approved IC may receive:
- listing on the UWL website
- recognition as a UWL Initiative or Council
- invitations to selected UWL events
- exposure through institutional communications.
The effectiveness of the Council will be driven by its ability to independently source, engage, and collaborate with relevant stakeholders
UWL makes no guarantees regarding partnerships, funding opportunities, or program outcomes.
PARTICIPATION OF EXTERNAL LEADERS AND INSTITUTIONS
Initiatives and Councils may involve participation by governments, corporations, academic institutions, nonprofit organizations, and global leaders.
Participation of such individuals or institutions does not constitute endorsement, sponsorship, or representation by United World Leaders.
Statements or opinions expressed by participants represent solely the views of those participants and not necessarily those of United World Leaders.
Participation does not create any partnership, agency, or legal relationship with United World Leaders unless established through a separate written agreement.
4. BRANDING AND USE OF UWL NAME
4.1 Limited License
UWL grants the IC a temporary, revocable, non-exclusive license to reference its affiliation with United World Leaders.
4.2 Revocation
UWL may revoke this license at any time and for any reason.
4.3 Official Identification Requirement
Upon approval, the IC shall identify and present itself exclusively in connection with its affiliation with United World Leaders using the following designation:
[Name of IC]
Independent Member of United World Leaders
This designation must appear prominently on the first page or primary display area of any materials referencing the affiliation, including but not limited to:
- printed materials
- electronic materials
- websites
- brochures
- banners
- promotional materials
- reports
- presentations
- public speeches or similar communications.
The phrase "Independent Member of United World Leaders" must appear in a typeface no smaller than eighty percent (80%) of the size of the IC's name, and must be positioned in close proximity to the IC's name so that the affiliation is clearly visible and not obscured, minimized, or placed in footnotes, disclaimers, or secondary sections of the material.
The United World Leaders logo must be displayed together with this designation, and its size and placement must be such that the affiliation is clearly visible and not visually diminished relative to the IC's branding.
The IC shall not use alternative wording, formats, or descriptions when representing its affiliation with United World Leaders unless expressly approved in writing by UWL.
The above-stated requirements shall be incorporated into all applicable materials referenced in this Section within ten (10) business days of the IC receiving an approval to become an Independent Member of the UWL.
If UWL determines that any materials or communications do not comply with these requirements, the IC shall promptly correct such materials and cease further distribution of non-compliant materials within one business day of receiving written notice from UWL.
4.4 Required Disclaimer
All communications referencing UWL must include the disclaimer contained in Appendix A.
5. INTELLECTUAL PROPERTY
5.1 Ownership
All intellectual property submitted or developed in connection with the IC shall belong exclusively to United World Leaders.
This includes, but is not limited to:
- the name of the IC
- proposals
- publications
- logos and branding
- marketing materials
- event recordings
- photos and videos
- written content
- research or reports
- ideas or concepts
(collectively "IP").
5.2 Assignment
The Representative irrevocably assigns to UWL all worldwide rights, title, and interest in IC Intellectual Property.
5.3 Perpetual Use
UWL may use, reproduce, publish, modify, distribute, and otherwise exploit such intellectual property in perpetuity.
5.4 Post-Termination Restrictions
Upon termination the Representative shall have no right to use the IC name, branding, or related materials.
5.5 Expansion, Chapters, and Derivative Initiatives
Any expansion including chapters, regional groups, conferences, working groups, or derivative programs requires prior written approval from UWL.
All such expansions remain property of UWL.
5.6 Program Integration and Institutional Adoption
United World Leaders may integrate any Initiative or Council into official programs or institutional structures of UWL.
Such integration may include restructuring leadership or expanding the initiative globally.
No ownership or financial entitlement shall arise for the Representative unless expressly agreed in writing by UWL.
6. GOVERNANCE AND COMMUNICATION
The Representative agrees to:
- provide updates regarding IC activities
- notify UWL of events conducted under the IC name
- provide documentation when requested.
7. HONORARY CHAIRS, PATRONS, AND ADVISORY LEADERS
UWL may appoint distinguished global leaders as Honorary Chairs, Patrons, or Advisors associated with an IC.
Such roles are ceremonial and do not create operational responsibility or legal liability.
8. AUTHORITY AND LEGAL LIMITATIONS
8.1 No Authority to Bind UWL
The IC and its representatives have no authority to legally bind UWL or its officers, employees, members, or affiliates.
8.2 Independent Responsibility
The IC assumes full responsibility for its activities and compliance with all applicable laws, regulations, and standards in any jurisdiction in which it operates.
While the UWL may, at its sole discretion, promote the IC within its global ecosystem and may introduce to the IC individuals or organizations that express interest in engaging with the IC, the IC acknowledges and agrees that it will not rely on such introductions for the conduct of its activities.
The IC shall independently identify, attract, and engage all individuals, organizations, partners, sponsors, and other stakeholders necessary for the execution of its initiatives and activities. Such outreach and engagement shall be conducted by the IC outside of the UWL and without requesting or expecting the Institution to make direct introductions on its behalf.
The UWL shall not be responsible for sourcing participants, partners, sponsors, or stakeholders for the IC, and all operational, organizational, and relationship-building responsibilities remain solely with the IC.
8.3 Independent Contractor Status
Nothing in this agreement creates any partnership, employment relationship, joint venture, or agency relationship between UWL and the IC or Representative.
8.4 Restriction on Commercial Activity, Fundraising, Association, Oversight, and Accountability
The Council shall operate strictly as a non-commercial, mission-driven initiative under the United World Leaders platform and shall not, under any circumstances, engage in commercial, revenue-generating, or profit-oriented activities of any kind. This prohibition includes, but is not limited to, the sale of goods or services, sponsorship arrangements, paid partnerships, marketing or promotional agreements, or any activity that may be reasonably interpreted as having a commercial or financial objective.
Furthermore, the Council is expressly prohibited from soliciting, requesting, or accepting funding, donations, grants, investments, sponsorships, or any other form of financial or in-kind contribution from any individual, organization, government, or entity. This includes both direct and indirect efforts to raise capital, whether conducted publicly or privately, formally or informally.
The Council or its leadership shall not represent itself as authorized to raise funds on behalf of the United World Leaders, nor imply any affiliation that could lead third parties to believe that contributions are being made to or endorsed by the Institution.
In the event that any donations, contributions, or financial support are offered or intended—whether solicited or unsolicited, monetary or non-monetary—such contributions must be directed exclusively to, and accepted solely by, the United World Leaders through its official banking accounts or other formally designated channels. Under no circumstances shall the Council receive, hold, process, or control any funds or assets directly.
Additionally, the Council and its leadership must immediately disclose in writing via email to the United World Leaders any instance in which funding, donations, or financial contributions are discussed, offered, or otherwise arise in connection with its activities. Such disclosure must include full details of the source, nature, amount, purpose, and circumstances of the proposed or actual contribution.
Restriction on Association and Representation
The Council and its representatives shall not use, display, or present the name, brand, or identity of the Council or the United World Leaders in conjunction with, alongside, or in association with any individual, organization, or entity that engages in activities contrary to these Terms and Conditions. This restriction applies to all forms of communication and representation, including but not limited to documents, correspondence, email communications, marketing materials, websites, public statements, and social media content.
Under no circumstances shall the Council or its leadership allow Council's name or the name of the United World Leaders to appear in a manner that could reasonably be interpreted as suggesting affiliation, endorsement, partnership, sponsorship, or any other form of involvement with such individuals or organizations. The Council bears full responsibility for ensuring that no misleading impression of association is created, whether directly or indirectly.
Mandatory Pre-Approval of External Engagements and Communications
The Council shall obtain prior written approval from the United World Leaders for any and all external engagements, communications, or representations that involve third parties or may reasonably be perceived as establishing a relationship, collaboration, or association. This includes, but is not limited to, partnerships, joint initiatives, co-branded materials, public announcements, events, speaking engagements, media appearances, sponsorship discussions, and any public or private communications referencing other individuals or organizations.
All such requests for approval must be submitted in writing and include sufficient detail regarding the nature, purpose, parties involved, and intended representation. No such activity shall proceed unless and until formal written approval is granted by the United World Leaders.
The United World Leaders reserves the absolute right to approve, deny, or condition any such request at its sole discretion. Failure to obtain prior written approval shall constitute a material breach of these Terms and Conditions.
Monitoring, Reporting, Audit Rights, and Mandatory Remediation
The Council shall operate with full transparency and accountability to the United World Leaders and shall comply with all monitoring, reporting, and oversight requirements established by the Institution. The Council shall provide mandatory monthly written reports detailing its activities, communications, outreach efforts, and any other matters reasonably requested by the Institution. Such reports must be accurate, complete, and submitted in a timely manner.
In addition to monthly reporting, the Council shall promptly respond to any ad hoc requests for information, clarification, or documentation. The United World Leaders shall have the right, at its sole discretion and at any time, to review, monitor, and audit the Council's activities, records, communications, materials, and operations. This includes access to relevant documents, correspondence, and digital communications necessary to verify compliance.
The Council shall fully cooperate with any such review or audit and shall maintain adequate records sufficient to demonstrate compliance.
Mandatory Self-Reporting and Remediation of Violations
In the event that the Council or any of its representatives has already engaged in, or becomes aware of, any activity that constitutes or may constitute a violation of these Terms and Conditions, the Council must:
- Promptly notify the United World Leaders in writing via email, providing full and complete details of the violation, including the nature of the activity, date(s) and circumstances, all individuals and organizations involved, and any financial or non-financial elements.
- Immediately take corrective action, including but not limited to notifying all involved third parties in writing that such activity was not authorized by the United World Leaders, clarifying that no official affiliation, endorsement, partnership, or involvement by the Institution exists, and taking all reasonable steps to undo, withdraw, or mitigate the effects of such violation.
- Provide written confirmation to the United World Leaders detailing the remedial actions taken and evidence of such actions, if requested.
Failure to promptly report and remediate any such violation shall constitute an independent and additional material breach of these Terms and Conditions. If any activity is deemed inconsistent with these Terms and Conditions, the United World Leaders may require further immediate corrective action.
Penalties, Liability, Indemnification, and Responsibility
Any violation of these Terms and Conditions shall constitute a material breach and may result in immediate action by the United World Leaders, including but not limited to suspension, revocation of status, termination of affiliation, and removal of the Council from the platform.
The Council leadership shall be solely responsible and liable for any and all actions, representations, communications, or omissions made in connection with its activities. To the fullest extent permitted by applicable law, the Council leadership agrees to indemnify, defend, and hold harmless the United World Leaders, its leadership, members, affiliates, and representatives from and against any and all claims, liabilities, damages, losses, costs, and expenses (including legal fees) arising out of or related to any breach of these Terms, unauthorized fundraising, misleading representation, failure to obtain required approvals, or violation of applicable laws.
The leadership of the Council, including but not limited to its Chair, Co-Chairs, Directors, and any individuals exercising decision-making authority, shall bear responsibility and liability for ensuring full compliance. Such individuals expressly acknowledge and agree that they have a duty to actively oversee and enforce compliance, shall be held accountable for any knowing violations, willful misconduct, gross negligence, or failure to exercise reasonable oversight, and may be held liable for damages arising from such actions or failures.
9. FUNDRAISING AND ENDORSEMENT LIMITATIONS
The IC shall not raise any funds except for sponsorship of its events, when pre-approved by the UWL.
The IC shall not use its affiliation with UWL in connection with:
- investment offerings
- fundraising campaigns
- sponsorship solicitations
- grant applications
- commercial endorsements
Violation of this section constitutes grounds for immediate termination of affiliation.
10. REPUTATION PROTECTION
UWL may suspend or terminate an IC if activities damage UWL's reputation or create legal or reputational risk.
11. CONFIDENTIALITY AND NON-DISPARAGEMENT
The Representative shall not disclose confidential information relating to UWL or make defamatory statements regarding UWL.
12. TERMINATION AND LEADERSHIP AUTHORITY
UWL or the Representative may terminate the IC and/or Representative's leadership of it at any time.
Upon termination all references to affiliation with UWL must cease.
UWL may appoint new leadership or restructure the Council/Initiative.
12.1 Leadership Removal Waiver
Leadership of an IC is a revocable privilege.
Removal or restructuring of leadership shall not constitute breach of this Agreement and the Representative waives any claims arising from such actions.
13. ANNUAL AFFILIATION VALUE AND FEE WAIVER
The Representative acknowledges that individuals and organizations typically pay significant annual institutional fees to receive exposure, promotion, and the right to reference affiliation with global leadership institutions.
UWL hereby waives what would otherwise be a $1,000,000 annual fee for the exposure, promotion, and limited license to reference the UWL name and logo granted under this agreement when utilized under the terms and conditions of this Agreement.
14. COMPLIANCE AND CONDUCT
The Representative represents that neither the Representative nor IC leadership or membership has a criminal record or pending criminal charges.
The Representative must notify UWL within one business day of any criminal proceedings, lawsuits, or reputational risks involving the IC or its leadership.
15. GLOBAL INSTITUTIONAL INTEGRITY
UWL may suspend or terminate the IC if continued association creates legal or reputational risk.
16. NON-COMPETING INITIATIVES
For five years following termination, the Representative shall not establish initiatives confusingly similar to or derived from the IC or the United World Leaders platform.
17. LEGAL PROVISIONS
Governing Law
State of Florida.
Mediation
Miami-Dade County, Florida.
Arbitration
American Arbitration Association.
Entire Agreement
This Agreement constitutes the entire agreement.
Amendments
Must be approved in writing by UWL.
Severability
If any provision is invalid, remaining provisions remain enforceable.
Survival
Intellectual property, indemnification, confidentiality, and dispute resolution survive termination.
18. ELECTRONIC ACCEPTANCE AND BINDING AGREEMENT
By submitting an application, proposal, or registration through the United World Leaders website or platform and selecting the option indicating acceptance of these Terms and Conditions, the Representative acknowledges and agrees that such action constitutes a legally binding electronic acceptance of this Agreement.
The Representative confirms that:
- the Representative has read and understood this Agreement
- the Representative has authority to accept this Agreement
- electronic acceptance has the same legal effect as a physical signature.
United World Leaders may rely upon such electronic acceptance as evidence of agreement.
APPENDIX A
REQUIRED DISCLAIMER
United World Leaders exercises no operational control over and assumes no responsibility for the activities of [Name of Initiative or Council].
The Initiative or Council is not authorized to legally bind United World Leaders or any of its representatives.
