These Terms and Conditions ("T&C") govern the relationship between United World Leaders ("UWL") and the individual applying to receive approval from UWL for the existing organization he or she owns or controls (the "Representative") to be recognized as an Independent Member of United World Leaders (the "Organization").

By submitting an application and accepting these Terms and Conditions on the UWL website, the Representative agrees to be legally bound by the provisions below.

RECITALS

WHEREAS, United World Leaders ("UWL") is a global leadership platform and institutional network that convenes distinguished leaders, organizations, governments, and institutions from across the world to advance international cooperation, strengthen partnerships, and promote global socioeconomic prosperity;

WHEREAS, United World Leaders provides a forum through which leaders and organizations may engage in dialogue, collaboration, and initiatives intended to contribute to peace, economic development, innovation, and the advancement of humanity;

WHEREAS, United World Leaders maintains a global network of affiliated organizations, members, partners, and initiatives operating across multiple sectors and regions of the world;

WHEREAS, the Representative has requested that the Organization be recognized as an Independent Member Organization within the global institutional network associated with United World Leaders;

WHEREAS, recognition as an Independent Member Organization may provide opportunities for visibility, engagement, and participation within the broader global ecosystem of organizations and leaders connected with United World Leaders;

WHEREAS, the parties wish to establish the terms governing such recognition and affiliation.

NOW, THEREFORE, the parties agree as follows.

1. GENERAL STATUS AND PURPOSE

1.1 Independent Organization

If approved, the Organization shall operate as an independent entity affiliated with UWL and not as a department, subsidiary, agent, joint venture, or legal representative of UWL.

1.2 Alignment with Mission

Activities referencing the Organization's affiliation with UWL must align with the mission of UWL:

To bring peace and socioeconomic prosperity across the world and advance initiatives that promote cooperation among nations and societies.

1.3 Non-Political, Non-Religious, and Non-Divisive Conduct

United World Leaders is a global institutional platform dedicated to fostering cooperation, dialogue, and collaboration among individuals, organizations, and nations across the world in pursuit of peace and the elevation of global socioeconomic prosperity.

Accordingly, the Initiative or Council and the Representative shall not use the United World Leaders platform, name, or affiliation to promote political campaigns, partisan political agendas, political parties, government factions, or religious advocacy.

All activities conducted under the United World Leaders platform shall be guided by the principles of mutual respect, constructive dialogue, and the pursuit of common ground among diverse individuals, institutions, and nations.

Participants in United World Leaders initiatives are expected to respect the diversity of cultures, perspectives, political systems, and national interests represented within the global community and to engage with such differences in a spirit of cooperation, understanding, and constructive engagement.

The Representative and the Initiative or Council shall therefore refrain from engaging in activities, communications, or public statements that, in the reasonable judgment of United World Leaders:

  • promote division, hostility, or antagonism among individuals, communities, organizations, or nations
  • assign blame to particular peoples, societies, or countries in a manner intended to create conflict or polarization
  • frame global issues in adversarial or "us-versus-them" terms between groups or nations
  • encourage discrimination, exclusion, or separation among participants in the global community
  • attempt to use the United World Leaders platform to advance geopolitical propaganda, influence campaigns, or the strategic interests of any particular government, political movement, or geopolitical bloc.

Activities conducted under the United World Leaders platform shall instead emphasize constructive engagement, cooperation across differences, and the identification of shared interests among diverse participants, with the objective of working with all individuals, organizations, and nations toward the advancement of peace and the improvement of global socioeconomic well-being.

United World Leaders reserves the right, in its sole discretion, to suspend or terminate any Initiative or Council that engages in conduct or communications inconsistent with the principles described in this section.

1.4 Standards of Conduct

The Organization and its representatives shall maintain professional and ethical conduct consistent with the mission, values, and reputation of United World Leaders.

2. APPROVAL AND OPERATION

2.1 Compliance with Application and Terms

The Organization agrees to operate consistently with:

  • the application submitted to UWL
  • these Terms and Conditions
  • reasonable institutional policies issued by UWL

If a conflict exists between the application and these Terms and Conditions, these Terms and Conditions shall prevail.

2.2 Operational Responsibility

The Representative confirms that the Organization possesses the necessary resources and organizational capacity to independently conduct its activities, including the ability to:

  • organize initiatives and programs
  • engage partners and collaborators
  • raise funding where appropriate
  • comply with applicable laws and regulations

3. BENEFITS AND LIMITATIONS

3.1 Possible Benefits

At UWL's sole discretion, an approved Organization may receive:

  • listing on the UWL website
  • recognition as an Independent Member Organization
  • invitations to selected UWL events
  • institutional exposure through UWL communications

UWL makes no guarantees regarding partnerships, funding opportunities, or outcomes.

3.2 Membership Distinction

UWL is a membership institution, and many benefits are reserved for approved paying members.

Recognition as an Independent Member Organization does not grant automatic access to full membership privileges.

3.3 Participation in Events

Participation in UWL summits, forums, meetings, and programs remains entirely at the discretion of UWL.

4. BRANDING AND USE OF UWL NAME

4.1 Limited License

UWL grants the Organization a temporary, revocable, non-exclusive license to reference its affiliation with United World Leaders and to use the UWL name and logo solely for communications relating to that affiliation.

4.2 Revocation

UWL may revoke this license at any time and for any reason.

4.3 Official Identification Requirement

Upon approval, the Organization shall identify and present itself exclusively in connection with its affiliation with United World Leaders using the following designation:

[Name of Organization]
Independent Member of United World Leaders

This designation must appear prominently on the first page or primary display area of any materials referencing the affiliation, including but not limited to:

  • printed materials
  • electronic materials
  • websites
  • brochures
  • banners
  • promotional materials
  • reports
  • presentations
  • public speeches or similar communications.

The phrase "Independent Member of United World Leaders" must appear in a typeface no smaller than eighty percent (80%) of the size of the Organization's name, and must be positioned in close proximity to the Organization's name so that the affiliation is clearly visible and not obscured, minimized, or placed in footnotes, disclaimers, or secondary sections of the material.

The United World Leaders logo must be displayed together with this designation, and its size and placement must be such that the affiliation is clearly visible and not visually diminished relative to the Organization's branding.

The Organization shall not use alternative wording, formats, or descriptions when representing its affiliation with United World Leaders unless expressly approved in writing by UWL.

The above-stated requirements shall be incorporated into all applicable materials referenced in this Section within ten (10) business days of the Organization receiving an approval to become an Independent Member of the UWL.

If UWL determines that any materials or communications do not comply with these requirements, the Organization shall promptly correct such materials and cease further distribution of non-compliant materials within one business day of receiving written notice from UWL.

4.4 Disclaimer Requirement

All public communications referencing UWL must include the disclaimer contained in Appendix A.

5. INTELLECTUAL PROPERTY

5.1 Ownership

Each party retains ownership of its own intellectual property.

Nothing in this agreement transfers ownership of the Organization's:

  • name
  • trademarks
  • branding
  • publications
  • ideas or concepts
  • marketing materials
  • other intellectual property

to UWL.

5.2 Limited Promotional Use

The Organization grants UWL permission to reference the Organization's name and publicly available materials solely for purposes of describing the affiliation and promoting UWL institutional activities as well as those of its independent members.

6. GOVERNANCE AND COMMUNICATION

The Representative agrees, where appropriate, to:

  • provide periodic updates regarding major activities
  • provide documentation of activities when appropriate
  • notify UWL of major events referencing UWL affiliation
  • introduce potential partners or members to UWL when appropriate

7. AUTHORITY AND LEGAL LIMITATIONS

7.1 No Authority to Bind UWL

The Organization and its representatives have no authority to legally bind UWL or its officers, employees, members, or affiliates.

7.2 Independent Responsibility

The Organization assumes full responsibility for its activities and compliance with all applicable laws, regulations, and standards in any jurisdiction in which it operates.

While the UWL may, at its sole discretion, promote the Organization within its global ecosystem and may introduce to the Organization individuals or organizations that express interest in engaging with the Organization, the Organization acknowledges and agrees that it will not rely on such introductions for the conduct of its activities.

The Organization shall independently identify, attract, and engage all individuals, organizations, partners, sponsors, and other stakeholders necessary for the execution of its initiatives and activities. Such outreach and engagement shall be conducted by the Organization outside of the UWL and without requesting or expecting the UWL to make direct introductions on its behalf.

The UWL shall not be responsible for sourcing participants, partners, sponsors, or stakeholders for the Organization, and all operational, organizational, and relationship-building responsibilities remain solely with the Organization.

7.3 Independent Contractor Status

Nothing in this agreement creates any partnership, employment relationship, joint venture, or agency relationship between UWL and the Organization.

7.4 Indemnification

The Representative agrees to indemnify and hold harmless UWL and its representatives against any claims, liabilities, damages, or expenses arising from the activities of the Organization.

8. FUNDRAISING AND ENDORSEMENT LIMITATIONS

The Organization shall not:

  • solicit funds in the name of United World Leaders
  • represent that UWL endorses its programs or activities
  • represent that UWL guarantees or sponsors its activities
  • represent that it can enter into financial commitments on behalf of UWL

The Organization shall not use its affiliation with UWL in connection with:

  • investment offerings
  • fundraising campaigns
  • sponsorship solicitations
  • grant applications
  • commercial endorsements

without written authorization from UWL.

Violation of this section constitutes grounds for immediate termination of affiliation.

9. REPUTATION PROTECTION

UWL may suspend or terminate the Organization's affiliation if the Organization engages in conduct that, in UWL's reasonable judgment:

  • damages UWL's reputation
  • conflicts with UWL's mission
  • exposes UWL to legal or reputational risk

10. CONFIDENTIALITY AND NON-DISPARAGEMENT

The Representative agrees not to disclose non-public information relating to UWL and not to make defamatory or damaging statements about UWL or its members.

11. TERMINATION

UWL or the Representative may terminate the affiliation at any time.

Upon termination:

  • all rights to reference affiliation with UWL cease
  • all rights to use the UWL name and logo terminate
  • the Organization must cease representing itself as affiliated with UWL

12. ANNUAL AFFILIATION VALUE AND FEE WAIVER

The Representative and the organization acknowledge that organizations typically pay significant annual institutional fees to receive exposure, promotion, and the right to reference affiliation with global leadership institutions.

UWL hereby waives what would otherwise be a $1,000,000 annual fee for the exposure, promotion, and limited license to reference the UWL name and logo granted under this agreement when utilized under the terms of this Agreement.

13. COMPLIANCE, CONDUCT, AND NOTIFICATION OBLIGATIONS

The Representative represents and warrants that, after reasonable inquiry, neither the Representative nor, to the best of the Representative's knowledge, the Organization or its principal officers and senior leadership have any criminal record, pending criminal charges, or ongoing criminal investigations at the time of entering into this agreement.

The Representative further agrees that the Representative and the Organization shall maintain high standards of moral character, integrity, professionalism, and ethical conduct consistent with the mission, reputation, and values of United World Leaders.

The Representative shall notify United World Leaders in writing within two (2) business days if any circumstances arise that may affect the Organization's compliance with this section, including but not limited to:

  • any criminal investigation, charge, or prosecution involving the Representative or senior leadership of the Organization
  • any civil lawsuits or legal proceedings that may reasonably affect the reputation or integrity of the Organization
  • any publicly reported allegations, scandals, or controversies involving the Representative, the Organization, or its leadership
  • any other circumstances that may reasonably create reputational, legal, regulatory, or compliance risk for United World Leaders.

Failure to comply with the obligations contained in this section, including failure to provide timely notification, may constitute grounds for immediate suspension or termination of affiliation with United World Leaders.

14. GLOBAL INSTITUTIONAL INTEGRITY

The Representative and the Organization represents that neither it nor its leadership is currently subject to criminal investigation for fraud, corruption, or financial misconduct that could reasonably create reputational risk for UWL.

If circumstances arise that may create legal or reputational risk for UWL, the Representative and the Organization agrees to promptly notify UWL.

UWL may suspend or terminate affiliation if continued association would create legal, reputational and other risk for UWL.

15. GLOBAL INSTITUTIONAL RECOGNITION AND PRIVILEGE OF AFFILIATION

Recognition as an Independent Member Organization of United World Leaders represents participation within the global institutional platform associated with UWL.

Such recognition constitutes a privilege of affiliation granted by United World Leaders and may be modified, suspended, or withdrawn at UWL's discretion to protect the integrity, mission, and reputation of the institution.

Recognition does not constitute endorsement, certification, accreditation, or sponsorship by United World Leaders.

16. LEGAL PROVISIONS

Governing Law
These Terms and Conditions are governed by the laws of the State of Florida.

Mediation
Disputes shall first be mediated in Miami-Dade County, Florida.

Arbitration
If mediation fails, disputes shall be resolved through binding arbitration under the American Arbitration Association.

Entire Agreement
These Terms constitute the entire agreement between the parties.

Amendments
Changes must be in writing and approved by UWL.

Survival
Provisions relating to indemnification, confidentiality, fundraising restrictions, dispute resolution, and reputation protection survive termination.

17. ELECTRONIC ACCEPTANCE AND BINDING AGREEMENT

By submitting an application, proposal, or registration through the United World Leaders website or platform and selecting the option indicating acceptance of these Terms and Conditions, the Representative acknowledges and agrees that such action constitutes a legally binding electronic acceptance of this Agreement.

The Representative confirms that:

  • the Representative has read and understood this Agreement
  • the Representative has authority to accept this Agreement
  • electronic acceptance has the same legal effect as a physical signature.

United World Leaders may rely upon such electronic acceptance as evidence of agreement.

APPENDIX A

REQUIRED DISCLAIMER

United World Leaders exercises no operational control over and assumes no responsibility for the activities of [Name of Organization].

The Organization is not authorized to legally bind United World Leaders or any of its representatives.
